TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern access to and use of the website cragroup.co.ke (the “Site”) and any products, platforms, applications, or services made available by Computer Revolution Africa Group (“CRAG”, “we”, “us”, or “our”), including but not limited to Secufortress, V-Book, Loan App, Telemetric, Fraud Detection, and Conveyancing, together with any associated cloud, data, AI, innovation, infrastructure, network, cybersecurity, modern work, and IT consultation and support services (collectively, the “Services”).
- Introduction & Acceptance
By accessing or using the Site or any of the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you are accessing or using the Site or Services on behalf of a company, organisation, or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case “you” refers to that entity.
If you do not agree to these Terms, you must not access or use the Site or the Services.
We reserve the right, at our sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of our Site following the posting of changes will mean that you accept and agree to the changes. As long as you comply with these Terms of Use, we grant you a personal, non-exclusive, non-transferable, limited privilege to enter and use our Site.
- Company Information
The Site and Services are provided by Computer Revolution Africa Group, a company incorporated in Kenya with its physical address at Nairobi, Kenya.
- Eligibility & User Accounts
The Site and Services are intended for use by businesses, organisations, and individuals acting in a professional or business capacity. By using the Site or Services, you confirm that you are at least 18 years of age and legally capable of entering into a binding contract.
Certain Services (for example, Secufortress, V-Book, Loan App, Telemetric, Fraud Detection, and Conveyancing) may require you to register for an account. When registering, you agree to:
- Provide accurate, current, and complete information;
- Maintain and promptly update your account information;
- Keep your login credentials confidential and secure; and
- Notify CRAG promptly of any unauthorised use of your account or any other breach of security.
You are responsible for all activities that occur under your account, whether or not authorised by you, except to the extent such activity results from CRAG’s own negligence or breach of these Terms.
- Services & Website Use
CRAG provides a range of digital transformation, IT, and technology solutions across Africa. The Services offered through the Site include, without limitation, the following categories:
- Cloud Solutions — including Microsoft Azure and Amazon Web Services (AWS) infrastructure, migration and modernisation, cloud security, and managed cloud services (IaaS, PaaS, and SaaS);
- Data Solutions — including data integration, data warehousing, data analytics, data visualisation, and business intelligence;
- AI Solutions — including generative AI, Microsoft Copilot, and machine learning solutions;
- Infrastructure Solutions — including storage, compute, data centre, virtualisation, backup and recovery, servers, database, and monitoring solutions;
- Modern Work and Collaboration — including enterprise messaging, identity and access management, collaboration applications, unified communications, SSL services, application integration, and archiving/data retention;
- Network Solutions — including network infrastructure, network management, WAN, cloud networking, data centre networking, network security, and wireless networking;
- Cybersecurity Solutions — including network, endpoint, cloud, data, identity and access management, email, and web security, and incident response and recovery services; and
- IT Consultation & Services — including implementation and deployment, migration, tiered support (Silver, Gold, and Platinum), advisory, security, business support, and post-migration services.
CRAG also makes available, specific proprietary products, including Secufortress, V-Book, Loan App, Telemetric, Fraud Detection, and Conveyancing. Where a specific product has its own supplementary terms, service description, order form, or service level agreement, those supplementary terms apply in addition to these Terms, and in the event of a direct conflict specific to that product, the supplementary terms shall prevail solely with respect to that product.
CRAG reserves the right to add, modify, suspend, or discontinue any Service, in whole or in part, at any time, subject to Clause 15 (Availability & Changes) and any binding service agreement in place with you.
- Duties of Our Site User (User Responsibilities)
As a condition of using the Site and Services, you agree to:
- Provide accurate, complete, and current information when requested;
- Keep your account credentials secure and confidential;
- Use the Site and Services only for lawful purposes and in accordance with these Terms;
- Not attempt to gain unauthorised access to any part of the Site, Services, or related systems, networks, or data; and
- Accept responsibility for all activity that takes place under your account or credentials.
- Prohibited Activities
Without limiting Clause 5, you must not, and must not permit any third party to:
- Use the Site or Services for any fraudulent, unlawful, or unauthorised purpose;
- Interfere with, disrupt, or attempt to gain unauthorised access to the Site, Services, servers, or networks connected to the Services, including through hacking, password mining, or introducing viruses, malware, or other harmful code;
- Reverse engineer, decompile, or disassemble any software forming part of the Services, except to the extent expressly permitted by applicable law;
- Infringe the intellectual property, privacy, or other rights of CRAG or any third party;
- Upload, transmit, or distribute any content that is unlawful, defamatory, obscene, threatening, or otherwise objectionable; or
- Use the Services to build, or assist a third party in building, a product or service competitive with CRAG’s Services.
CRAG reserves the right to investigate and take appropriate action against any person who, in CRAG’s sole discretion, violates this Clause, including suspension or termination of access in accordance with Clause 19 (Suspension & Termination) and, where appropriate, referral to law enforcement authorities.
- Security
Our Site uses SSL(Secure Sockets Layer protocol)to protect your personal information. SSL is a security function for the purpose of protecting personal information and other important information exchanged over the Internet from interception by third parties.
- Personal Information
Any personal data collected through your use of the Site or Services is collected, used, stored, and disclosed in accordance with CRAG’s Privacy Policy and the Kenya Data Protection Act, 2019. By using the Site or Services, you acknowledge that you have read the Privacy Policy and consent to the collection and processing of your personal data as described in it.
- Cookies
The Site uses cookies and similar tracking technologies to operate, secure, and improve the Site and to understand how visitors interact with it. By continuing to use the Site, you consent to the use of cookies as described in our Privacy Policy / Cookie Policy, which sets out the categories of cookies used, the purposes for which they are used, and how you may manage or disable them through your browser settings.
- Orders, Payments & Pricing
Where a Service is offered on a paid basis (for example, under a quotation, proposal, service agreement, or product order for Secufortress, V-Book, Loan App, or other products), the applicable prices, payment terms, and invoicing arrangements will be set out in the relevant quotation, order form, or service agreement between you and CRAG.
Unless otherwise stated, prices are quoted exclusive of applicable taxes (including value added tax), which will be added where legally required. CRAG reserves the right to correct pricing errors and to suspend delivery of Services pending resolution of any payment dispute or failed transaction, subject to any applicable service agreement.
- Refunds, Returns & Cancellations
Refund, return, and cancellation rights, where applicable, will be set out in the relevant order form, quotation, or service agreement for the specific Service or product concerned. Except as expressly stated in such an agreement or as required by applicable law, fees paid for Services already rendered are non-refundable.
- Intellectual Property
All content on the Site, including text, graphics, logos, service descriptions, methodologies, product names (including Secufortress, V-Book, Loan App, Telemetric, Fraud Detection, and Conveyancing), software, and documentation, is the property of CRAG or its licensors and is protected by Kenyan and international intellectual property laws.
Subject to your compliance with these Terms, CRAG grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site and Services for your own internal business purposes. No other rights are granted, and you must not copy, reproduce, distribute, modify, or create derivative works from any part of the Site or Services without CRAG’s prior written consent.
- User-Generated Content
Where any Service permits you to upload, submit, or share content (including data, documents, or files, for example through Secufortress, V-Book, Loan App, or Conveyancing), you retain ownership of that content. You grant CRAG a limited, non-exclusive licence to host, store, process, and display that content solely as necessary to provide the relevant Service to you.
You are solely responsible for the content you submit and warrant that you have all necessary rights to submit it and that it does not infringe the rights of any third party or violate any applicable law.
- Third-Party Services & Links
The Services may incorporate, integrate with, or rely upon third-party platforms and providers, including without limitation Microsoft (Azure, Microsoft 365, Copilot), Amazon Web Services, Google Workspace, Zoho, and SSL/certificate providers such as DigiCert, Thawte, Comodo, GeoTrust, Sectigo, and RapidSSL. The Site may also contain links to third-party websites.
CRAG does not control and is not responsible for the content, availability, security, or practices of any third-party platform or website. Your use of any third-party service is subject to that third party’s own terms and privacy practices, and CRAG accepts no liability arising from your use of third-party services or websites.
- Availability & Changes
CRAG reserves the right, at its sole discretion and without liability, to modify, suspend, or discontinue the Site or any Service (or any part or feature of it), temporarily or permanently, at any time, with or without notice, subject to any binding service agreement or service level commitment in place with you.
- Disclaimers
The Site and Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, CRAG disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. CRAG does not warrant that the Site or Services will be uninterrupted, error-free, or completely secure, or that the results obtained from use of the Services will be accurate or reliable.
- Limitation of Liability
To the fullest extent permitted by applicable law, CRAG shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or relating to your use of, or inability to use, the Site or Services, whether based in contract, tort, or otherwise, even if CRAG has been advised of the possibility of such damages.
Subject to applicable law, CRAG’s total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to CRAG for the specific Service giving rise to the claim in the [twelve (12)] months preceding the event giving rise to the claim. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under Kenyan law.
- Indemnification
You agree to indemnify and hold harmless CRAG, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Site or Services; (b) your breach of these Terms; or (c) your violation of any applicable law or the rights of any third party.
- Suspension & Termination
CRAG may suspend or terminate your access to the Site or any Service, in whole or in part, immediately and without liability, if: (a) you breach these Terms or any applicable service agreement; (b) required to do so by law or by a competent authority; (c) your account shows signs of fraudulent, unauthorised, or unlawful activity; or (d) payment for a paid Service is overdue and remains unresolved following notice, subject to any cure period set out in a relevant service agreement.
Upon suspension or termination, your right to access and use the affected Service will cease. Provisions of these Terms which by their nature should survive termination (including Clauses 13, 15, 18, 19, and 22) shall survive.
- Miscellaneous
Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Entire Agreement: These Terms, together with the Privacy Policy and any applicable service agreement or order form, constitute the entire agreement between you and CRAG regarding the Site and Services and supersede any prior agreements on the same subject matter.
Assignment: You may not assign or transfer any rights or obligations under these Terms without CRAG’s prior written consent. CRAG may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
Force Majeure: CRAG shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, power or internet outages, government action, or third-party service failures.
No Waiver: CRAG’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Governing Law &Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of Kenya. Subject to Clause 23 (Dispute Resolution), the courts of Kenya shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.
- Dispute Resolution
In the event of a dispute arising out of or relating to these Terms, the parties shall first attempt to resolve the dispute through good-faith negotiation. If the dispute is not resolved within [30] days, either party may refer the dispute to mediation or arbitration in Nairobi, Kenya, in accordance with the Arbitration Act (Kenya), before resorting to court proceedings, unless the dispute concerns intellectual property rights or seeks urgent injunctive relief, in which case either party may proceed directly to the courts of Kenya.
23. Changes to Terms
CRAG may update these Terms from time to time. Where changes are material, CRAG will provide reasonable notice, for example by posting a notice on the Site or updating the “Last Updated” date above. Your continued use of the Site or Services after any such changes take effect constitutes your acceptance of the revised Terms.
